These Terms & Conditions (the 'Terms') govern your access to and use of Magical Studio AI, an online AI photo editor available at https://magicalstudio.ai (the 'Service'). By accessing or using the Service, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By creating an account, signing in, or otherwise using Magical Studio AI, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Service.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. By using Magical Studio AI, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.

3. Your Account

You sign in to Magical Studio AI using Google sign-in. You are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to provide accurate information and to notify us promptly of any unauthorized use. You may not share your account or use another person's account without permission.

4. Acceptable Use & Prohibited Content

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are solely responsible for the content you upload and the results you generate. You must not upload, create, or share:

  • Content that is illegal or violates any applicable law or regulation.
  • Content that infringes the intellectual property, privacy, or other rights of any person.
  • Non-consensual content, including images of other people used or altered without their permission.
  • Sexually explicit content involving minors, or any content that exploits or endangers children.
  • Harmful, abusive, harassing, defamatory, hateful, or otherwise objectionable content.
  • Content intended to deceive, defraud, impersonate, or mislead others.

You also agree not to misuse the Service, including by attempting to bypass usage or credit limits, reverse engineer the Service, interfere with its operation, or access it through automated or unauthorized means.

5. User Content & Rights

You retain ownership of the photos and other content you upload to Magical Studio AI ('User Content'). We do not claim ownership of your uploads. You represent and warrant that you own or have all necessary rights to the content you upload and that its use through the Service does not violate any law or third-party rights.

To operate the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and transform your User Content solely for the purpose of providing the AI editing features you request (such as Ghibli styling, face swap, background removal, colorize, enhance, upscale, and trends) and operating and improving the Service. This license ends when your content is deleted, except where retention is required by law.

6. Intellectual Property

The Service, including its software, design, branding, text, and features, is owned by Magical Studio AI and protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights, title, and interest in and to the Service. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

7. Subscriptions & Billing

Magical Studio AI offers free credits when you sign up. To unlock additional usage, you may purchase an 'Unlimited' subscription on a weekly, monthly, or yearly basis. Payments are processed securely through Stripe.

  • Subscriptions automatically renew at the end of each billing period until you cancel.
  • You can cancel anytime in Settings → Plan → Cancel; your plan remains active until the end of the current paid period.
  • Switching between plans takes effect immediately and is prorated based on your remaining time.
  • Prices may change; we will give you notice before any change applies to your subscription.

8. Cancellations & Refunds

You may cancel your subscription at any time from Settings → Plan → Cancel. Cancelling stops all future billing so you will not be charged again. All payments are final and non-refundable, we do not provide refunds for any payment, including the current period, partial or unused time, or automatic renewals. See our Cancellation & Refund Policy, which forms part of these Terms.

9. Suspicious Activity & Account Suspension

We may suspend, restrict, or block your account, with or without notice, if we reasonably believe you have engaged in fraud, payment abuse, attempts to bypass usage or credit limits, or the upload or generation of prohibited content, or if your activity poses a risk to the Service or other users. We may also take these measures to comply with the law or to protect the integrity and security of the Service.

10. Disclaimers

The Service is provided on an 'as is' and 'as available' basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI-generated results will meet your expectations. AI outputs may contain inaccuracies, and you are responsible for reviewing them before use.

11. Limitation of Liability

To the maximum extent permitted by law, Magical Studio AI and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months preceding the claim.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the 'Last updated' date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Magical Studio AI operates, without regard to its conflict of laws principles. Any disputes arising from these Terms or your use of the Service will be subject to the exclusive jurisdiction of the courts located in that jurisdiction.
